Terms & Conditions

Effective Date: August 2026 | Comprehensive Legal Governance Framework

IMPORTANT LEGAL NOTICE: Please read these Terms and Conditions thoroughly before accessing or utilizing the VendorForest platform. By creating an account, browsing, selling, or placing an order, you agree to be bound by all statutory provisions, fee schedules, liabilities, and arbitration mandates outlined below.

1. Legal Binding Framework & Definitions

This Master Services Agreement ("Agreement") constitutes a legally binding contract between VendorForest Digital LTD ("Platform", "We", "Us", "Our") and any individual or corporate entity accessing, interacting with, or conducting transactions via the website, application, or affiliated services ("User", "Buyer", "Vendor").

By clicking "Agree", registering an account, or initiating any financial transaction on VendorForest, you signify your unreserved assent to these terms. If you do not accept every clause contained within this comprehensive document, you are expressly prohibited from using the platform and must cease usage immediately.

2. Financial Architecture & Fee Structure

VendorForest operates a dual-sided settlement architecture to maintain platform stability, escrow protection, and operational infrastructure. All users agree to the following mandatory financial deductions and markups:

  1. Buyer Purchase Fee: A mandatory 2% service markup is automatically calculated and added to the total cart balance at final checkout. This non-refundable markup covers real-time escrow locking, digital fraud prevention, and order protection administration.
  2. Vendor Settlement Balance & Withdrawal Insurance Fee: Upon successful delivery confirmation of an order, gross funds are moved to the Vendor's Settlement Balance. When a Vendor requests a payout or pulls funds from their Settlement Balance, a mandatory 1% deduction is automatically applied to the total requested withdrawal amount. This 1% fee serves as a risk mitigation and insurance premium, protecting Vendors against transit damage claims and fraudulent chargebacks.
  3. Processing & Gateway Adjustments: All financial clearing schedules are subject to banking network operational cycles. VendorForest reserves the right to freeze accounts suspected of artificial balance manipulation or unauthorized ledger adjustments.

3. Product Listing, Manual Verification & Perishables

To maintain regulatory compliance and safety standards, VendorForest implements strict categoric oversight over items listed by Vendors.

Certain sensitive product categories—specifically eatable goods, consumable food items, beverages, pharmaceuticals, and perishable merchandise are subject to strict Manual Inspection & Pre-Listing Verification by VendorForest compliance officers prior to public display.

Vendors attempting to bypass manual verification by miscategorizing consumable products face immediate, permanent account termination and forfeiture of pending settlement balances. VendorForest disclaims all strict liability regarding secret ingredient alterations or unlisted allergens contained in vendor-packaged foods beyond visual and physical documentation compliance.

4. Logistics, Dispatch Riders & Pickup Advisories

VendorForest provides verified logistics options alongside merchant-arranged transit methods. Users are bound by the following liability boundaries regarding fulfillment:

  1. Third-Party Dispatch Riders: Every available dispatch rider integrated natively into the VendorForest system is fully verified through background checks and physical address identification.
  2. Custom Dispatch Rider Assumption of Risk: If a Buyer or Vendor opts to assign, employ, or hire an independent or custom external pickup dispatch rider outside the verified system defaults, they do so strictly at their own risk. VendorForest accepts zero responsibility or liability for product damage, theft, delivery delay, or loss caused by user-selected external riders.
  3. Official Pickup Location Advisory: For high-value merchandise, fragile goods, or perishable foodstuffs, it is strongly recommended and advisable for Buyers to pick up their items directly at designated VendorForest pickup hubs rather than sending personal or unverified dispatch riders.

5. Escrow Mechanics & Order Confirmation Protocols

When a Buyer places an order, funds are held in Vendor's collection balance. Escrow funds are released to the Vendor's Settlement Balance only when: (a) The Buyer explicitly clicks "Confirm Delivery" via the platform interface, or (b) The system automated auto-completion timer expires following confirmed carrier tracking proof without an active dispute raised.

If a Buyer initiates a dispute regarding defective or non-matching goods within the permitted 48-hour inspection window, escrow funds remain frozen until VendorForest dispute resolution officers render a final, unappealable determination based on photographic evidence and dispatch records.

6. Prohibited Activities & Account Termination

Users are strictly forbidden from engaging in off-platform financial transactions, contact information harvesting, artificial review manipulation, multiple account manipulation to bypass seller tiers, or uploading counterfeit inventory. Violation of these mandates results in immediate account suspension, permanent banning, and potential legal referral to law enforcement agencies.

7. Limitation of Liability & Indemnification

To the maximum extent permitted by law, VendorForest, its directors, employees, and software providers shall not be held liable for indirect, incidental, punitive, or consequential damages resulting from platform downtime, courier failures, loss of profits, or physical injury resulting from third-party vendor goods. Users agree to defend, indemnify, and hold harmless VendorForest against any legal claims stemming from their breach of this Agreement.

8. Amendments & Governing Law

VendorForest reserves the right to amend or modify this Agreement, including fee structures and manual review guidelines, at any time without prior individual written notice. Continued platform usage following published updates constitutes binding approval of all revised terms. This agreement is governed by the statutory laws of the operational jurisdiction.
